Terms of Service

1. Acceptance of Terms

By accessing or using AltSpeak (“the Service”), operated by Genesis Vanguard Pty Ltd (ABN 95683567556, trading as Torpenhow Technologies, “we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Genesis Vanguard Pty Ltd. We recommend that you read them carefully before using the Service.

2. The Service

AltSpeak is a web-based artificial intelligence text-to-speech application that converts written text into synthesised audio using third-party TTS providers. The Service operates on a credit-based billing model where characters submitted for synthesis are deducted from your credit balance.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes in advance.

3. Account Responsibilities

To use the Service, you must authenticate through a supported OAuth provider (Google, GitHub, or Discord). By creating an account, you agree to the following:

• Accurate information — the account information provided by your OAuth provider must be accurate and current. You are responsible for keeping your authentication credentials secure.
• Account security — you are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use.
• One account per person — each individual may maintain only one AltSpeak account. Creating multiple accounts to circumvent credit limits, abuse the free tier, or evade enforcement actions is prohibited.
• Age requirement — you must be at least 13 years of age to use the Service. If you are under 18, you must have the consent of a parent or legal guardian.

4. Subscriptions and Billing

The Service offers both a free tier and paid subscription plans. Paid subscriptions are processed through Creem.io, our third-party payment processor. By subscribing to a paid plan, you also agree to Creem’s terms of service.

4.1 Credit-based plans

Each subscription plan includes a monthly allocation of character credits. Credits are granted at the start of each billing period and reset monthly on your billing anniversary. The free tier provides a one-time allocation of credits that does not reset.

4.2 No rollover guarantee

Unused credits from one billing period do not carry over to the next period unless explicitly stated otherwise. When you upgrade your plan, the new plan’s credits are added on top of your existing balance.

4.3 Price changes

We reserve the right to change subscription pricing at any time. If we increase prices, we will provide at least 30 days’ notice via email or notification within the Service before the change takes effect. Continued use of a paid plan after the effective date constitutes acceptance of the new pricing.

5. Credit Usage and Refunds

• Non-transferable — credits are tied to your account and cannot be transferred, sold, or exchanged with other users.
• Consumed on generation — credits are deducted at the time of audio generation based on the number of characters submitted for synthesis.
• Refunds — refunds for paid subscriptions are handled at our sole discretion on a case-by-case basis. We are not obligated to issue refunds for unused credits.
• Payment disputes — payment-related disputes, including chargebacks, are managed through Creem.io in accordance with their dispute resolution process.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. The following uses are expressly prohibited:

• Illegal content — generating audio that violates any applicable law, promotes violence, constitutes hate speech, or infringes on the rights of others.
• Free tier abuse — creating multiple accounts, using automated tools, or employing any method to obtain free credits beyond the intended one-time allocation.
• Automated bulk generation — using scripts, bots, or automated systems to generate audio at scale without our prior written permission.
• Resale without licence — reselling, sublicensing, or redistributing the Service or access to it without a commercial licence agreement from us.
• Reverse engineering — decompiling, disassembling, reverse engineering, or attempting to derive the source code of any part of the Service.
• Service disruption — attempting to interfere with, compromise, or disrupt the Service, its servers, or connected networks.

7. Intellectual Property

7.1 Our property

The Service, including its design, code, features, branding, and documentation, is owned by Genesis Vanguard Pty Ltd and is protected by Australian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

7.2 Your generated audio

You retain full rights to audio files generated through your use of the Service, subject to the terms of the underlying TTS providers. You may use generated audio for both personal and commercial purposes.

7.3 Anonymised usage data

We retain the right to collect and use anonymised, aggregated usage data for the purposes of service improvement, analytics, and performance optimisation. This data does not identify individual users.

8. Voice Cloning

The Service includes a voice cloning feature that allows you to upload audio samples to create custom synthetic voices. By using this feature, you represent and warrant that:

• You have all necessary rights, consents, and permissions to use the voice samples you upload, including the consent of the person whose voice is being cloned (if it is not your own).
• You will not use voice cloning to impersonate any person without their explicit consent, to commit fraud, or for any other unlawful purpose.
• You accept full responsibility for how you use cloned voices created through the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review the full Privacy Policy for complete details.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, including the Australian Consumer Law:

• The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee that the Service will be uninterrupted, error- free, or available at all times. Scheduled and unscheduled maintenance, third-party provider outages, and force majeure events may affect availability.
• In no event shall Genesis Vanguard Pty Ltd, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• Our total aggregate liability for any claims arising from or related to the Service is limited to the amount of fees you have paid to us in the 12 months preceding the claim.

11. Termination

11.1 By you

You may terminate your account at any time by navigating to Settings > Deactivate Account within the Service. If you are on a paid subscription, cancellation of the subscription should be done through the customer portal before deactivating your account.

11.2 By us

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, including but not limited to the acceptable use provisions in Section 6. We may also terminate accounts that have been inactive for an extended period, with prior notice.

11.3 Effect of termination

Upon termination for cause (violation of these Terms), remaining credits are forfeited and are not eligible for refund. Upon voluntary termination, any remaining credits will be available until the end of your current billing period, after which your account will revert to the free tier before final deletion.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

Before initiating formal proceedings, you agree to make a good-faith effort to resolve any dispute by contacting us at [email protected]. We will attempt to resolve the matter within 30 days of receiving your written notice.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will provide at least 30 days’ notice via email to the address associated with your account or through a notification within the Service.

The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
